OVERVIEW

Welcome to Pasture Problems Co.™.

Pasture Problems Co.™ is operated by Alladeium Holdings LLC. Throughout these Terms of Service, the terms “Pasture Problems Co.™,” “we,” “us,” and “our” refer to Alladeium Holdings LLC operating as Pasture Problems Co.™.

We operate this website and online store, including the information, content, features, products, tools, and services made available through it (collectively, the “Services”).

Our store is powered by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.

These Terms of Service (“Terms”), together with our Privacy Policy, Refund Policy, Shipping Policy, and any other policies referenced herein, govern your access to and use of the Services.

By visiting, browsing, creating an account, placing an order, or otherwise using the Services, you agree to these Terms. If you do not agree to these Terms, you should not access or use the Services.

SECTION 1 - ELIGIBILITY, ACCESS, AND ACCOUNTS

By using the Services, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence, or that you are using the Services with the permission and supervision of a parent or legal guardian as permitted by applicable law.

Certain areas of our website, including Pasture After Dark™, contain adult-oriented humor and are intended only for persons 18 years of age or older. Access to those portions of the site may require age confirmation.

If you create an account, you are responsible for maintaining the confidentiality of your login information and for activity occurring under your account.

You agree to provide accurate, current, and complete information when creating an account, placing an order, or otherwise interacting with the Services.

You may not transfer, sell, assign, or license your account to another person.

SECTION 2 - PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to accurately display and describe the products offered through our store.

However, product colors may appear differently depending on your screen, device, display settings, lighting conditions, and other factors.

Many Pasture Problems Co.™ products are made to order and are manufactured and fulfilled by third-party print-on-demand production partners.

Minor variations in garment dimensions, print placement, color, texture, or other production characteristics may occur within normal manufacturing tolerances.

Product photographs, lifestyle images, mockups, and digital renderings are intended to help illustrate the product. Actual appearance may vary slightly from digital representations.

We reserve the right to modify product descriptions, pricing, availability, specifications, designs, colors, and other product information at any time without prior notice.

We may discontinue any product, collection, design, or variation at any time.

SECTION 3 - ORDERS

Submitting an order constitutes an offer to purchase products from us.

We reserve the right to accept, reject, limit, or cancel an order when reasonably necessary, including in cases involving suspected fraud, pricing errors, inventory or fulfillment problems, payment issues, suspected resale activity, or violations of these Terms.

Payment must be successfully authorized before an order can be processed.

Because many products are made to order and may enter production shortly after purchase, changes or cancellations cannot be guaranteed once an order has been submitted.

  • Size
  • Color
  • Quantity
  • Shipping address
  • Contact information

If you notice an error after placing an order, contact us as soon as possible. We will make a reasonable effort to assist before production begins, but changes or cancellations may not be possible after production has started.

Returns, replacements, and refunds are governed by our Refund, Replacement & Return Policy.

Purchases are intended for personal or household use unless we expressly agree otherwise.

SECTION 4 - PRICES, PAYMENT, AND TAXES

Prices, promotions, discounts, and product availability may change without notice.

The price charged will be the price shown at checkout when your order is placed, subject to correction of obvious pricing or technical errors.

Unless otherwise stated, product prices do not include applicable taxes, shipping charges, customs duties, import fees, or similar charges.

You agree to provide current, complete, and accurate billing and payment information.

By providing a payment method, you represent that you are authorized to use that payment method and authorize the applicable charges associated with your purchase.

Any promotions, discounts, coupon codes, or special offers may be subject to separate terms and may be changed or discontinued at any time.

SECTION 5 - SHIPPING AND DELIVERY

Production and delivery times are estimates and are not guaranteed unless expressly stated otherwise.

Because products may be manufactured after an order is placed, total delivery time may include both:

  1. Production and fulfillment time; and
  2. Carrier transit time.

Delays may occur because of carrier disruptions, weather, holidays, customs processing, production delays, incorrect addresses, or other circumstances outside our reasonable control.

Customers are responsible for providing a complete and accurate shipping address.

If you believe an order has been lost, damaged during delivery, or incorrectly delivered, contact us so we can review the issue.

Risk of loss and responsibility for shipped merchandise will be determined in accordance with applicable law and our Shipping and Refund Policies.

SECTION 6 - RETURNS, REPLACEMENTS, AND REFUNDS

Our products are generally made to order.

Returns, refunds, replacements, manufacturing defects, misprints, damaged merchandise, incorrectly fulfilled orders, customer ordering errors, sizing issues, and cancellations are governed by our Refund, Replacement & Return Policy.

That policy is incorporated into these Terms by reference.

Nothing in these Terms or our Refund Policy limits any consumer rights that cannot legally be waived.

SECTION 7 - INTELLECTUAL PROPERTY

The Services and their contents, including trademarks, trade names, logos, characters, illustrations, artwork, product designs, photographs, graphics, videos, text, slogans, layouts, and other materials, are owned by or licensed to Pasture Problems Co.™, Alladeium Holdings LLC, or their respective licensors and are protected by applicable intellectual-property laws.

Pasture Problems Co.™, Pasture After Dark™, associated character names, artwork, logos, designs, slogans, and other brand elements may not be copied, reproduced, distributed, modified, sold, commercially exploited, or used to create derivative works without prior written permission.

You may access and use the Services solely for lawful, personal, non-commercial purposes.

No license or ownership interest in our intellectual property is granted by your use of the Services.

All rights not expressly granted are reserved.

Shopify and other third-party names, trademarks, and logos appearing through the Services remain the property of their respective owners.

SECTION 8 - OPTIONAL TOOLS AND THIRD-PARTY SERVICES

The Services may provide access to third-party tools, applications, payment services, fulfillment providers, social-media services, shipping carriers, analytics services, or other third-party functionality.

We do not control every aspect of these third-party services and cannot guarantee their availability, accuracy, security, or performance.

Your use of third-party services may also be governed by the applicable provider's terms and policies.

We are not responsible for losses or damages arising solely from your independent use of a third-party service outside our control, except where applicable law provides otherwise.

We are not responsible for the content, accuracy, availability, security, privacy practices, products, or services of third-party websites.

If you leave our website to access a third-party service, you do so subject to that third party's terms and policies.

SECTION 10 - RELATIONSHIP WITH SHOPIFY

Pasture Problems Co.™ is powered by Shopify, which enables us to provide the Services to you.

However, purchases made through our store are transactions directly between you and Pasture Problems Co.™.

Shopify is not the seller of Pasture Problems Co.™ merchandise and is not responsible for the manufacture, fulfillment, delivery, condition, or use of products purchased from us.

To the extent permitted by applicable law, Shopify and its affiliates are not responsible for claims, damages, or liabilities arising from transactions directly between you and Pasture Problems Co.™.

SECTION 11 - PRIVACY

Personal information collected through the Services is handled according to our Privacy Policy.

Because our store is hosted by Shopify, Shopify also processes certain personal information necessary to provide and operate its ecommerce services.

Your information may also be processed by payment processors, fulfillment partners, shipping carriers, analytics providers, and other service providers necessary to operate our business and fulfill orders.

Please review our Privacy Policy for additional information about how personal information is collected, used, disclosed, and protected.

Shopify's own privacy practices are governed by Shopify's applicable privacy policies.

SECTION 12 - REVIEWS, PHOTOS, AND OTHER USER CONTENT

If you voluntarily submit a review, photograph, testimonial, comment, suggestion, idea, or other content to us (“User Content”), you represent that you have the right to provide that content.

You grant us a non-exclusive, worldwide, royalty-free license to reproduce, display, publish, distribute, adapt, and use User Content for purposes reasonably related to operating, advertising, and promoting Pasture Problems Co.™ and our products.

We will not knowingly use privately submitted customer photographs for public advertising without permission when such permission would reasonably be expected.

User Content must not:

  • Violate another person's intellectual-property rights;
  • Violate privacy or publicity rights;
  • Contain unlawful, defamatory, threatening, or malicious material;
  • Contain malware or harmful code;
  • Misrepresent its source or authenticity.

We may remove User Content that violates these Terms or applicable law.

SECTION 13 - ERRORS AND INACCURACIES

Occasionally, information on our website may contain typographical errors, inaccuracies, outdated information, or omissions involving product descriptions, prices, promotions, shipping charges, delivery estimates, or availability.

We reserve the right to correct errors, update information, and cancel or modify affected orders when reasonably necessary.

If an order is canceled because of an error after payment has been collected, the applicable payment will be refunded.

We reserve the right to restrict automated access when reasonably necessary to protect the Services, our customers, or our systems.

We may suspend or terminate access to all or part of the Services when reasonably necessary because of fraud, security concerns, unlawful conduct, misuse of the Services, or material violation of these Terms.

Termination does not eliminate obligations or liabilities incurred before termination.

We do not guarantee that the website will always be uninterrupted, error-free, secure, or available.

To the fullest extent permitted by applicable law, Pasture Problems Co.™, Alladeium Holdings LLC, and their owners, officers, employees, contractors, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from use of the Services or products purchased through the Services.

This includes, where permitted by law, lost profits, lost revenue, lost data, loss of use, or similar losses.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

SECTION 19 - INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Pasture Problems Co.™, Alladeium Holdings LLC, and their affiliates, owners, officers, employees, contractors, service providers, and licensors from third-party claims, liabilities, damages, losses, and reasonable expenses arising from:

  • Your material violation of these Terms;
  • Your violation of applicable law;
  • Your infringement of another person's rights; or
  • Your unlawful or unauthorized use of the Services.

SECTION 20 - SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and severed to the extent necessary.

The remaining provisions will remain in effect.

SECTION 21 - WAIVER AND ENTIRE AGREEMENT

Our failure to enforce a provision of these Terms does not constitute a waiver of that provision.

These Terms, together with the policies incorporated by reference, constitute the agreement governing your use of the Services and supersede prior versions relating to that use.

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, sale, reorganization, transfer of the business, or other lawful business transaction.

SECTION 23 - GOVERNING LAW

These Terms and any dispute relating to the Services will be governed by the laws of the State of South Carolina, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

Any court proceedings will be brought in a court of competent jurisdiction as permitted by applicable law.

Nothing in this section deprives a consumer of rights or protections that cannot legally be waived in the consumer's jurisdiction.

SECTION 24 - CHANGES TO THESE TERMS

We may revise these Terms from time to time.

The most current version will be posted on this page.

When required by applicable law, we will provide appropriate notice of material changes.

Continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
